Edmonton's Lockerbie and Hole sold to Aecon

EDMONTON – Lockerbie & Hole (TSX: LH), one of Edmonton's oldest companies, is being acquired by Toronto construction giant Aecon Group (TSX: ARE) for $220 million.
The cash and shares deal represents a 30 per cent premium to Lockerbie's closing price of $6.15 Jan. 30.
"We quickly saw that the Aecon and Lockerbie management teams share a common set of values, and that the increased scale and breadth of the combined company will provide a great environment for the continued growth and development of the Lockerbie team," said Lockerbie CEO Gordon Panas.
Lockerbie, one Canada's largest mechanical contractors with roots dating back to 1898, will be able to offer more integrated services to its clients and provide a stronger platform for continued growth, Panas said.
Panas will be executive vice-president and CFO in the combined company, while chairman and former CEO J.D. Hole will join the board.
The news sent Lockerbie shares up 27 per cent in morning TSX trading. Aecon president Scott Balfour said the deal "brings significant opportunities to leverage the complementary skills and client relationships of both companies."
Aecon's civil and utilities capabilities will augment Lockerbie's water, wastewater and mining operations, as well as applying Aecon's power generation experience to Lockerbie's market strength in the west, he said.
Both boards have unanimously approved the deal, scheduled to close in April pending approval by Lockerbie's shareholders. About 29 per cent of shares, held by the board and management, and L&H Holdings Corp., are committed to supporting the deal.
With the addition of Lockerbie's 400 salaried and 2,500 peak hourly workers, the new company will employ about 9,000 people.
Aecon said the deal will be financed without debt through a cash payment and the issuance of about $55 million in shares.
